Company Compliance
Company Compliance keeps the company-secretarial records of Indian private limited companies, one-person companies and LLPs. It holds the company master, directors and key managerial personnel, share capital and the cap table, and board and general meetings with minutes. Statutory registers are generated from that data. A compliance calendar lists MCA e-forms with due dates and estimated fees, and the app builds a data pack to help prepare each form.
Who uses it
- CS admins own the company master, directors, capital, meetings, registers, filings and settings.
- External company secretaries work on the same records, keep review notes and see a console across their client companies.
- Directors read meeting papers and minutes, vote on circular resolutions, sign off filings and file their own disclosures.
- External CAs have read-only access to the company, capital, registers, financials and calendar, and can leave review notes.
Before you start
- Switch Company Compliance on for your company. See the Quick start.
- Have your certificate of incorporation, CIN or LLPIN, PAN, TAN and registered office details ready.
- Gather each director's DIN, PAN and appointment history, and your share allotments and transfers to date.
- If Books is on, the AOC-4 figures, MSME dues and borrowings are read from it. If People is on, directors who are employees and your PF, ESI and other registrations can be linked.
Set up
- Complete the company master. Choose the entity type, enter the CIN or LLPIN and identity details, and add auditors and key managerial personnel. Review the small company test result.
- Add directors. Enter each director with their appointments over time, category and mode. Record their last DIR-3 KYC filing so the next due date can be worked out.
- Load share capital. Add share classes and shareholders, then enter allotments and transfers in date order. The register of members and cap table are built from these.
- Review statutory rules. Due dates, fees, thresholds and resolution requirements are shipped as data with citations and marked unverified. Ask your company secretary to review and tick them in settings.
- Generate the calendar. The compliance calendar is created from the rules and your company's data, with items that do not apply shown with the reason.
- Invite people. Invite your practising company secretary and your auditor or CA, and give directors access.
- Add licences. Record GST, PF, ESI, professional tax, shops and establishments and other registrations with renewal dates.
Key workflows
Hold a board meeting
- Create the meeting. The board-meeting gap timeline shows the latest date the next meeting can be held.
- Build the agenda from standard items and your own, and attach board papers.
- Send the notice. The app checks the notice period.
- On the day, record attendance; quorum is checked, with interested directors excluded where required.
- Record resolutions. Passing one that needs an MGT-14 filing adds it to the calendar.
- Draft the minutes, circulate them for comments and have the chairperson sign. Signed minutes are locked.
Pass a resolution by circulation
- Circulate the resolution to all directors with a response date.
- Directors vote for, against or abstain on the web or mobile.
- The app records the outcome, and the resolution is noted at the next board meeting.
Keep filings on time
- Review items due in the next 30 days on the dashboard or calendar.
- Prepare each filing using its data pack, exported as JSON and Excel.
- Send it to a director for sign-off through the approval engine.
- File on the MCA portal, then record the SRN, date and fees paid. Reminders continue weekly while an item is overdue.
Record an allotment
Enter the allotment kind, class, price, allottees and the approving meeting. The app checks authorised capital headroom and creates the PAS-3 filing with its due date.
Track director KYC and disclosures
DIR-3 KYC due dates are worked out for each DIN. MBP-1, DIR-8 and DIR-2 disclosures are requested from directors, who complete them online, and are noted at a board meeting.
India specifics
The app follows the Companies Act, 2013, the LLP Act and the related rules, including the move of DIR-3 KYC from an annual to a three-yearly cycle. Additional fees are estimated from the late-fee scheme in force, with the rule cited and marked for verification. Data packs are named to match the MCA V3 forms; there is no MCA portal login, so signing with DSC and upload happen on the portal.
